These Website Terms of Use (the “Terms”) govern your access to and use of foundryleap.com (the “Site”), which Foundry Leap LLC (“Foundry Leap,” “we,” “us,” or “our”) operates. By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
1. What the Site Is
The Site provides general information about Foundry Leap, a holding company that builds, acquires, and operates technology businesses. We do not sell products or services through the Site. Each of our portfolio companies operates its own website under its own terms and privacy policy, and those documents, rather than these Terms, govern your use of that company's website, products, and services.
2. No Offer, Solicitation, or Advice
Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or ownership interest in Foundry Leap or any portfolio company. Foundry Leap invests its own capital and does not solicit outside investment through the Site. Content on the Site is not investment, legal, tax, accounting, or financial advice, and you should not rely on it as such.
3. Acquisition and Partnership Inquiries
You may contact us about selling a business, partnership opportunities, or other matters. Please do not send confidential or proprietary information through the Site's contact form or by unsolicited email. Unless you and Foundry Leap have signed a written confidentiality or non-disclosure agreement, we have no obligation to keep the information you send us confidential.
You keep ownership of any materials you send us. Your submission does not create any relationship, obligation, or commitment between you and Foundry Leap, and it does not restrict us from independently developing, investing in, or acquiring businesses, products, or ideas similar to those you describe. When a conversation progresses, we sign non-disclosure agreements as part of our evaluation process. Any transaction requires a separate written agreement signed by both parties.
4. Permitted Use
Subject to these Terms, you may view and use the Site for informational purposes. You may share links to Site pages and quote brief excerpts with attribution. Otherwise, you may not copy, reproduce, republish, distribute, or create derivative works from Site content without our written permission.
You agree not to use the Site in violation of any law, interfere with its operation or security, attempt to gain unauthorized access to our systems, or use bots, scrapers, or other automated means to collect data from the Site.
5. Intellectual Property
Foundry Leap or its licensors own the Site and its content, including text, graphics, logos, and design, and copyright, trademark, and other laws protect them. The Foundry Leap name and logo, and the names and logos of our portfolio companies, are trademarks of Foundry Leap or its affiliates. Other trademarks that appear on the Site belong to their respective owners.

6. Links to Other Websites
Links to portfolio company websites take you to sites governed by those companies' own terms and privacy policies. The Site may also link to websites that third parties operate. We do not control third-party websites and are not responsible for their content, policies, or practices.
7. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.
8. Limitation of Liability

9. Indemnification
You agree to indemnify and hold harmless Foundry Leap and its members, managers, employees, and agents from any third-party claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your violation of these Terms or applicable law or your misuse of the Site.
10. Governing Law and Venue
The laws of the State of New Jersey govern these Terms, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts.
11. Other Agreements
If you and Foundry Leap have signed a separate written agreement, including a non-disclosure agreement, letter of intent, or purchase agreement, that agreement controls to the extent it conflicts with these Terms. If a court finds any provision of these Terms unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision does not waive our right to enforce it later.
12. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page and revise the “Last Updated” date above. Changes take effect when posted, and your continued use of the Site after that date means you accept the updated Terms.
